Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vybe Chekk mobile application, website, and related services (collectively, the "Service"), operated by Vybe Chekk Inc. ("Vybe Chekk", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account or use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.

2. Your Account

To access most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that provide false information or that we reasonably believe are being used fraudulently or in violation of these Terms.

3. The Service

Vybe Chekk is a venue discovery and real-time social check-in application that helps users find places to go and share their experiences with others, across categories including but not limited to restaurants, bars, cafés, live music, outdoor spaces, and community events.

The Service is provided on an "as is" and "as available" basis. Features, functionality, and content may change, be added, or be removed at any time without notice, including during our pre-launch and early access phases.

4. Acceptable Use

When using the Service, you agree not to:

• Post false, misleading, defamatory, or harassing content
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Use automated means (bots, scrapers, or similar tools) to access or collect data from the Service without our express written permission
• Interfere with or disrupt the integrity or performance of the Service
• Upload content that infringes the intellectual property or other rights of any third party
• Use the Service to stalk, harass, or endanger another person

We reserve the right to remove content and suspend or terminate accounts that violate this section, at our sole discretion.

5. User Content

The Service allows you to post check-ins, comments, photos, and other content ("User Content"). You retain ownership of your User Content.

By posting User Content, you grant Vybe Chekk a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, use, display, reproduce, and distribute that content in connection with operating, promoting, and improving the Service. This licence ends when you delete the content or your account, except where the content has been shared by other users or retained as required by law.

You are solely responsible for your User Content and represent that you have all necessary rights to post it and that it does not violate these Terms or any applicable law.

6. Venue Accounts and Listings

Venues may claim and manage a listing on the Service. Venue account holders are responsible for the accuracy of the information they post, including hours, location, and event details. Vybe Chekk does not guarantee the accuracy of venue-provided information and is not responsible for a venue's goods, services, or conduct.

Certain venue features are offered on a paid subscription basis, as described in Section 7.

7. Paid Subscriptions and Purchases

Vybe Chekk offers optional paid subscription tiers for individual users and for venues, along with certain one-time promotional purchases available to venues. Where offered through the Apple App Store or Google Play Store, the following terms apply in addition to the applicable app store's own terms:

• Subscription prices are shown at the time of purchase and may vary by tier and by currency
• Subscriptions automatically renew for the same term unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period, at the then-current price
• You can manage or cancel your subscription at any time through your Apple ID or Google Play account settings
• No refund will be issued for the unused portion of a current subscription period, except where required by applicable law or the relevant app store's policies

We may change subscription pricing or features on a going-forward basis. Where required by law or app store policy, we will provide advance notice before a price change takes effect for existing subscribers.

8. Intellectual Property

The Service, including its design, features, graphics, logos, and underlying technology, is owned by Vybe Chekk Inc. and is protected by copyright, trademark, and other intellectual property laws. "Vybe Chekk" and associated logos are trademarks of Vybe Chekk Inc. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without our prior written consent.

You may not copy, modify, reverse engineer, decompile, or create derivative works based on the Service, except to the limited extent expressly permitted by applicable law.

9. Third-Party Services

The Service may contain links to or integrations with third-party websites, services, or venues that are not owned or controlled by Vybe Chekk. We are not responsible for the content, policies, or practices of any third party. Your interactions with third parties, including venues, are solely between you and that third party.

10. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that information provided by venues or other users is accurate, complete, or current.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Vybe Chekk Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service will not exceed the greater of one hundred Canadian dollars (CAD $100) or the amount you paid us in the twelve months preceding the claim.

Nothing in these Terms limits any liability that cannot be excluded or limited under applicable Canadian or provincial law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vybe Chekk Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

13. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if we discontinue the Service in whole or in part.

Sections of these Terms that by their nature should survive termination, including Sections 8, 10, 11, 12, and 14, will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.

15. Changes to These Terms

We may update these Terms from time to time, particularly as new features are added to the Service. If we make material changes, we will provide notice through the app, by email, or by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
